GAIAFLOW SHIZUOKA DISTILLERY PRIVATE CASK 2025 OCTAVE TERMS AND CONDITIONS

We are pleased to offer private individuals the opportunity to purchase a limited number of Casks of hand-crafted Japanese Single Malt Whisky from Gaiaflow Shizuoka Distillery.

In this offer, you can select a distilled spirit from a combination of different malted barleytypesand two wash stills that give unique and distinctive flavours and characters to the whisky. You can also bottle the whisky upon your decision. This is your own whisky, one and only,unlike any other.

1. PRIVATE CASK OWNER
“Private Cask Owner” (hereafter “Cask Owner”, “You” or “Your”) means the person that has ordered and contracted the purchase of the Shizuoka Private Cask. The Cask Owner must be aged twenty (20) years and over.

All following terms and conditions are concluded between the Cask Owner and “Gaiaflow Distilling Co. Ltd.” (hereafter “Gaiaflow Shizuoka Distillery”, “Distillery”, “We” or “Us”).

2. SHIZUOKA SINGLE MALT WHISKY AND THE SELECTION OF NEW MAKE SPIRIT
“Shizuoka Single Malt Whisky” means a whisky produced only from water, malted barley and yeast at Gaiaflow Shizuoka Distillery, by batch distillation with the copper pot stills. The spirit is distilled twice with our distinctive copper pot stills, first in the wash still and then in the spirit still. This spirit as distilled is called “New Make Spirit”. This New Make Spirit will then be filled into the Cask, in which to mature for a minimum of three (3) years, at which time it officially becomes to be called Shizuoka Single Malt Japanese Whisky.

The Cask Owner shall select from the following options:

MaltedBarley:
- Japanese Non-peated malt: soft and delicate
- UK Non-peated malt: rich and full-bodied
- UK Peated malt: distinctive smoky flavour

Wash Still
- W: Direct wood-fired pot still (made by Forsyths) – full-body and sweet
- K: Steam-heated Karuizawa pot still – fruity, and floral

The difference of heating system above and the shape of the pot stills will contribute to create a unique characters and flavours to the New Make Spirit. The Distillery understood that the “Direct Wood-fired” pot still gives heavy, powerful and sweet flavours to the sprit, while the “Steam-heated Karuizawa” pot still gives soft, fruity and floral flavours.

Maximum purchase availability per Cask Owner is limited to one (1) Cask each from the selection described in above, and total of eighteen (18) Casks.

3. CASK
The cask will be matured for three (3) years in Gaiaflow Shizuoka Distillery's warehouse and then bottled. Thecask-filling alcohol strength is 63% ABV.

The cask size is an Octave (approx. 50 liters), and the following three types are available. All of these casks are previously used for the maturation of our blended whisky "Blended M":

-Ex-M Non-peated Cask (used in the maturation of non-peated whisky for Blended M)
-Ex-M Peated Cask (used in the maturation of peated whisky for Blended M)
-Ex-M Grain Cask (used in the maturation of grain whisky for Blended M)

Due to the nature of oak casks, there may be a slight variation in its capacity, but the filling volume remains the same. The casks will be selected by the distillery.

The Casks belong to and owned by the distillery. All Casks must be returned after the bottling is completed and remain at the property of distillery.

4. STORAGE AND MATURATION
The Cask Owner’s Casks will be stored under bond in one of the warehouses at the Distillery. The storage location of the Casks in the warehouse will be decided by the Distillery.

The spirit can be bottled after it reaches a minimum maturation period of three (3) years from the date of filling to be officially called Shizuoka Single Malt Japanese Whisky.

The Distillery does not accept to keep maturingCaskOwner’s Cask for more than four (4) years due to the higher evaporation rate in Shizuoka.

5. PRICE AND INSURANCE
The price includes the cost of spirit, warehousing, and insurance for three (3) years. Insurance covers accidental loss.

6. PURCHASING PROCEDURES

The price is a deposit, and it is a price under the bond sale. The price does not include duties, taxes and the charges which the Cask Owner is obliged to pay for the bottling.

7. CONTACT AND INFORMATION
All communication will be made to the email address provided during registration. The Cask Owner must notify the distillery of any changes promptly.

8. CHANGE OF CASK OWNERSHIP
The Cask Owner can transfer the Cask ownership to another owner, but no more than once per one calendar year, except any special reasons such as related to inheritance.

If the Cask Owner wishes to transfer the Cask ownership, the Certificate of Ownership must be returned to the Distillery. And the Cask Owner must inform the Distillery the full details of the new owner, attaching the confirmed evidence that the new owner agrees to succeed the ownership. This must be done in advance of any transfer of ownership taking place. The required application shall be filled and completed by the new Cask Owner through the online store advised by the Distillery. As soon as it is confirmed, the Distillery will notify the transfer of ownership to both current and new Cask Owners by email. The new Certificate of Ownership will be issued to the new Cask Owner.

Handling charge to transfer the Cask ownership will be borne by the new Cask Owner.

9. CASK FILLING
The Cask will be filled in 2025 according to the distillery’s production schedule.

10. MEET YOUR CASK
The Cask Owner is welcomed to visit Gaiaflow Shizuoka Distillery to meet your Casks after you received the Certificate of Ownership.

Reservations must be made through our online tour booking system at least seven (7) business days in advance. Up to two (2) accompanying adults may join free of charge. There is no charge for visitors under the age of twenty(20).

Due to production schedules or temporary closures, there may be a case the Distillery is not able to accommodate your preferred date.

11. CASK SAMPLES
The Distillery will collect a 200ml tasting sample from the Cask upon Cask Owner’s order. The Cask Owner shall order the tasting sample via Distillery’s online store. There is a handling charge for this service. The tasting sample can be delivered to the Cask Owner’s destination by airfreight.In case for the airfreight, the alcohol strength must be adjusted to 60% ABV or lower in accordance with shipping regulations.

If the Cask Owner wishes to pick-up the tasting sample at the Distillery, it is requested to inform together with the visit request.

12. ANGELS’ SHARE
The Cask Owner acknowledges that approximately 15% of the liquid contained in the Cask naturally evaporate each year (known as “Angels’ Share”) and that at the same time the strength decreases. The Cask Owner further acknowledges that the evaporation rate for each Cask is vary and that the amount of liquid and/or strength of the spirit is vary between each Cask. Therefore, the Distillery gives no guarantee of the amount of spirit remaining in your Cask at the end of the maturation period and any loss during this period will not be refunded, excluding the case when the Cask is leaking.

13. BOTTLING
The contents of the Cask can be bottled after it reaches a minimum maturation period of three (3) years from the date of filling, to be called Shizuoka Single Malt Japanese Whisky.In the event, the distillery will contact the Cask Owner by emailwhenthree (3) years is passed from the cask filling date, to provide instructions for bottling. The Cask Owner shall follow the procedures as indicated. In case if the Distillery is not able to get any response from the Cask Owner before three (3) months, the contract will be deemed cancelled. In such case, the paid fee will be refunded after deducting the applicable cancellation charge.

The order of bottling will follow the sequence of applications the Distillery receive. Due to the production schedule, the Cask Owner is not able to select the Bottling date. Bottlingwillbe completed before the maximum maturation period of four (4) years. Bottling shall be carried out only once per Cask and cannot be divided into multiple batches.

The Distillery’s standard bottles shall used for the bottling, and it is normally bottled at cask strength withoutchill-filtration and no adding colour to the whisky. During the maturation period, both volume and alcohol strength may decrease due to natural evaporation. This is a natural process, and the extent of change cannot be predicted.

Alternatively, the Distillery can reduce the alcohol strength of the whisky upon Cask Owner’s request with no additional charge. In such case, all bottles will be filled at a uniform strength. The minimum alcohol strength is 46% ABV. Lower ABV will be resulted in a larger number of bottles compared to cask strength bottling.

14. BOTTLING CHARGE
Total bottling charge shall depend on the number of bottles you get from the Cask. The bottling charge includes labelling the printed label designed by the Distillery. The label includes required legal mentions in Japan and the detailed information about the Cask, such asCask number, Cask type, Pot Still and Malted barley used, distilled and bottled dates, alcohol strength and the number of bottles. Adding any reasonable texts on the label that the Cask Owner wishes are subject to agree with the Distillery.

The bottling charge will be invoiced to the Cask Owner by e-mail. If the Cask Owner has not paid the full invoiced amount within fourteen (14) days from the invoiced date, the Distillery shall be entitled to dispose the Casks and the Distillery shall be released from any future liability to deliver Whisky to the Cask Owner by returning the original purchase price less cancel charge.

15. DUTY AND LOCAL TAXES ON DELIVERY OF YOUR BOTTLES
The Cask Owner acknowledges that customs charges, duty and taxes being applied to the Whisky upon arrival in the destination country, and that the importer may also require an administration fee for assisting with Customs clearance. The Cask Owner is liable to pay any duties and taxes applied to the Whisky. The Cask Owner may also be required to complete legal documents when importing the Whisky.

In case if the Whisky is delivered to one single address in Japan, it is also a Cask Owner’s obligation to pay Japanese alcohol duty and sales tax as applicable on the date of shipment.

16. CANCELLATION
To cancelthe ownership, the Cask Owner must notify the Distillery via specified procedure. A cancellation fee is applied based on the following stages:

17. SHIPMENT AND DELIVERY

Once the Cask is bottled, the Whisky will be shipped to the Cask Owner’s destination by the Distillery’s appointed local importer in your country, via airfreight or ocean shipment upon the Cask Owner’s decision. The Cask Owner shall be responsible for all shipment costs, on top of any duties and taxes applied to deliver the Whisky.

There is a handling fee charged by the importer upon arrival of the Whisky to Cask Owner’s destination. The amount is a maximum of JPY 25,000 and is subject to change.. The amount shall be charged in local currency at the destination and the Cask Owner is payable direct to the importer upon arrival of the Whisky.

The Distillery do not ship the Whisky to a country other than the Cask Owner’s country of residence, unless the Cask Owner wishes the Whisky delivered to one single address in Japan by paying associated local duty and taxes.

The Whisky will usually be delivered between three (3) and six (6) months after it is bottled, except the delivery by airfreight which normally takes one (1) month.

The Distillery’s appointed local importer in your country may notify you all the payments needed for importing the bottles as well as the procedure for the delivery. It is highly recommended that the Cask Owner to investigate the terms, conditions and costs with your state monopoly and/or the Distillery’s contracted local importer before shipment.

18. LIABILITY
The Cask Owner acknowledges that although the Casks are stored and managed on the same terms and basis as others, the Distillery is not liable to prevent the leakage. In this unlikely event, however, that Cask Owner’s casks are damaged or becomes empty during the maturation period, the Distillery shall prepare the replacement Cask closest possible in terms of distilled date and type of wood.

19. FORCE MAJEURE
Neither party shall be liable to the other party for any delay or failure in the performance of its obligations under this Agreement if and to the extent such delay or failure in performance arise from any cause or causes beyond the reasonable control of the party affected (hereinafter called “Force Majeure.”).

Force Majeure shall include, but not be limited to, act of God, acts of government or governmental authorities, compliance of with law, regulations or orders, fire, storm, flood, or earthquake; war (declared or not), rebellion, revolution, or riots, delay or failure of delivery from subcontractor, strike, or lockout.

20. BOTTLING, HANDLING CHARGES AND OTHER COSTS (as of 1stJanuary 2025)
The Cask Owner acknowledges the following charges are subject to change in case of, and if effected by, any changes in Japanese Government laws or regulations may be applied. In the absence of any such changes the costs will remain unchanged.
